Acceptance of Terms
By accessing, browsing, registering with, purchasing a membership from, or otherwise using the GXG website, marketplace, platform, or related services (collectively, the “Site”), you confirm that you have read, understood, and agree to be legally bound by these Terms of Use.
IF YOU DO NOT AGREE WITH THESE TERMS, YOU MUST NOT ACCESS OR USE THE SITE.
These Terms constitute a legally binding agreement between you (“User”, “Member”, “you”) and GXG Developers LTD (“GXG”, “Company”, “we”, “us”).
Nature of GXG Platform
GXG operates a private real estate membership ecosystem providing members with access to community services, discussions, educational content, project updates, selected marketplace opportunities, promotional initiatives, and additional services.
Membership is intended solely to provide access to the GXG Membership Programme and does not constitute:
ownership in GXG;
an investment product;
a guarantee of property acquisition;
a guarantee of financial benefit;
a promise of future availability, pricing, or allocation.
Any Member Benefit, Developer Contribution Programme, promotional initiative, accommodation programme, or property transaction operates independently of the Membership Programme and shall be governed by its own applicable terms, eligibility requirements, availability, compliance procedures, and legally binding agreements.
All property purchases remain subject to separate Sale and Purchase Agreements and any other applicable contractual documentation.
Eligibility & Account Requirements
To use the Site and become a GXG Member, you must:
Be at least 18 years of age, or have the consent of a parent or legal guardian;
have legal capacity to enter binding agreements;
provide accurate and complete information;
comply with all applicable laws and regulations.
You are responsible for maintaining the confidentiality of your account credentials and all activity conducted through your account.
GXG reserves the right to request verification documentation at any time.
No Gambling, Lottery, Raffle, or Prize Draw
GXG expressly confirms that its membership programs, subsidy initiatives, promotional campaigns, and property allocation mechanisms:
are not gambling activities;
are not lotteries, raffles, sweepstakes, prize draws, or games of chance;
do not involve betting, wagering, or payment for a chance-based outcome;
do not provide guaranteed winnings, rewards, or financial returns.
Members do not purchase a chance to receive property or benefits.
Any property opportunity, subsidy allocation, or promotional benefit is determined through defined commercial criteria, including but not limited to:
membership status;
eligibility requirements;
compliance verification;
reservation procedures;
contractual requirements;
performance-based criteria where applicable.
No entitlement under GXG programs is determined by randomness, luck, or chance.
Membership Fees & Subscription
GXG Membership is a private membership programme operated by GXG Developers Ltd.
The monthly membership fee provides members with access to the GXG community, discussions, educational content, digital services, project updates, and other membership services made available from time to time.
The membership fee is paid solely for participation in the GXG Membership Programme.
Membership:
• does not constitute a property purchase, reservation, investment, financial contribution, deposit, or advance payment towards any property;
• does not grant ownership rights, purchase rights, reservation rights, allocation rights, or any entitlement to acquire property;
• does not guarantee access to any Developer Contribution Programme, Member Benefit, promotional initiative, accommodation programme, subsidy, or property opportunity;
• does not create any ownership interest, financial return, investment right, or contractual entitlement.
Participation in any Member Benefit or property-related programme is entirely separate from the Membership Programme and is governed exclusively by its own terms, eligibility requirements, availability, compliance procedures, and contractual documentation.
Membership fees are charged solely for membership services and are non-refundable except where required by applicable law.
Data Processing, Privacy & GDPR Compliance
GXG processes personal information in accordance with applicable data protection legislation, including the EU General Data Protection Regulation (GDPR).
Information may be collected for purposes including:
identity verification;
account management;
reservation and purchase processing;
compliance obligations;
fraud prevention;
transaction security;
legal requirements.
Where required, GXG may request documentation including:
identification documents;
proof of address;
financial information;
source-of-funds information;
other compliance documentation.

KYC & AML Compliance
GXG maintains compliance procedures designed to prevent fraud, money laundering, terrorist financing, and unlawful activity.
GXG reserves the right to:
perform identity verification;
request additional documentation;
conduct compliance reviews;
delay or refuse transactions;
restrict or terminate access where compliance requirements are not satisfied.
Failure to provide requested information may result in suspension or termination of access.
Member Benefits & Promotional Programmes
Participation in any GXG Member Benefit or Promotional Programme is entirely separate from the GXG Membership Programme and is not included within the monthly membership fee.
Only eligible GXG Members who have successfully completed the applicable Membership Grace Period may participate in Member Benefits, subject to the applicable programme rules, eligibility requirements, availability, compliance procedures, and GXG's approval.
GXG may introduce, modify, or discontinue Member Benefits as part of its commercial marketing, customer acquisition, property development, and member engagement strategies.
Developer Contribution Programme
The Developer Contribution Programme is a promotional initiative currently available only in relation to selected GXG developments located in the Republic of Cyprus.
GXG may, at its sole discretion, provide developer-funded contributions of varying amounts towards eligible property purchases under selected projects, developments, or promotional schemes, subject to the applicable programme rules, eligibility requirements, availability, and execution of the relevant legal documentation.
Free Accommodation Programme
The Free Accommodation Programme may provide eligible members with access to accommodation opportunities in selected GXG properties or other accommodation approved by GXG.
Accommodation opportunities may include, without limitation:
long-term accommodation programmes;
rent-free accommodation initiatives;
short-stay or city-break accommodation programmes;
student accommodation or sponsorship initiatives;
international accommodation programmes operated by GXG from time to time.
The location, duration, availability, and structure of each accommodation programme shall be determined solely by GXG and may vary between countries, developments, and promotional campaigns.
Education Sponsorship Programme
The Education Sponsorship Programme may provide eligible members with access to educational opportunities delivered directly by GXG or through selected educational partners.
Educational benefits may include tuition sponsorship, accommodation, international educational programmes, student exchanges, camps, foundation programmes, visa support, transportation, or other educational initiatives introduced by GXG from time to time.
The structure, location, duration, participating institutions, educational partners, and scope of any Education Sponsorship Programme shall be determined solely by GXG.
Community Note: Certain GXG Member Benefits and Promotional Programmes may be subject to additional programme-specific terms and conditions. Where applicable, such terms shall be made available to eligible members before the relevant benefit is activated and shall form part of the applicable benefit arrangement.
General Conditions
Any Member Benefit, developer contribution, accommodation programme, promotional incentive, subsidy, pricing adjustment, or similar benefit:
is a discretionary commercial incentive provided by GXG;
is not a guaranteed entitlement unless expressly confirmed in writing by GXG;
does not create any ownership right, tenancy, lease, reservation right, investment interest, financial return, or contractual entitlement;
does not constitute a financial product or investment opportunity;
does not guarantee eligibility, allocation, approval, availability, or successful completion of any transaction or programme.
All Member Benefits are subject to GXG's published programme rules, legal and regulatory requirements, internal approval procedures, availability, and completion of any required agreements and documentation.
GXG reserves the right, at its sole discretion and where reasonably required for commercial, operational, legal, regulatory, or compliance purposes, to establish, modify, suspend, replace, withdraw, or discontinue any Member Benefit or Promotional Programme, amend eligibility requirements or programme conditions, limit participation or availability, correct technical or administrative errors, and withdraw any participating property, accommodation, development, or promotional opportunity.
Nothing contained in any Member Benefit or Promotional Programme shall constitute an offer to sell, a guarantee of allocation, a promise of future availability, or a legally binding commitment except where expressly set out in a separate written agreement executed by the relevant parties.
Membership Grace Period
All new GXG Memberships are subject to a one (1) month grace period commencing on the date the membership is activated.
During the grace period, members shall have full access to the GXG community, discussions, educational content, updates, and other membership services included within their subscription.
However, during this period members shall not be eligible to:
• claim any Member Benefit;
• participate in any Developer Contribution Programme;
• participate in promotional property programmes;
• reserve or purchase any property through GXG programmes;
• participate in any accommodation benefit.
The purpose of the grace period is to maintain the independent nature of the GXG Membership Programme and ensure compliance with GXG's internal procedures.
Upon expiry of the grace period, members may become eligible to participate in applicable programmes, subject to the relevant programme terms, eligibility requirements, availability, compliance procedures, and execution of any required legal documentation.

VAT, Taxes & Statutory Charges
For legal and taxation purposes, subsidies represent a developer-supported contribution and do not necessarily constitute a reduction of the contractual purchase price.
Unless otherwise required by applicable law:
VAT, transfer fees, duties, taxes, and statutory charges shall be calculated according to the applicable contractual terms and Cyprus tax legislation.
Members are responsible for obtaining independent tax advice where appropriate.
Access Program Notice
The GXG Access Programme provides eligible GXG Members who have successfully completed the applicable Membership Grace Period with access to selected GXG marketplace opportunities relating to GXG-developed properties.
The Access Programme enables eligible members to view and participate in available property opportunities in accordance with the applicable programme terms, eligibility requirements, compliance procedures, and availability.
Access to the GXG Marketplace does not guarantee:
the availability of any property or opportunity;
eligibility to participate in any Developer Contribution Programme or Member Benefit;
any specific pricing, developer contribution, subsidy, or promotional incentive;
reservation rights, purchase rights, allocation of any property, or successful completion of a transaction.
All property purchases remain subject to property availability, successful completion of GXG's compliance and verification procedures, execution of the applicable Sale and Purchase Agreement, and any other required legal documentation.
Participation in the Access Programme does not create any ownership interest, contractual entitlement, financial return, investment right, or guaranteed property benefit.
Right to Refuse Service
GXG reserves the right to refuse, delay, restrict, suspend, or terminate access to:
the Site;
marketplace services;
membership;
purchase opportunities;
business proposals;
transactions;
where GXG reasonably determines such action is necessary for:
legal compliance;
regulatory obligations;
security;
fraud prevention;
commercial considerations;
protection of GXG, members, or third parties.
Marketplace Information Disclaimer
Any property information, materials, images, specifications, descriptions, pricing indications, availability details, development timelines, or other content displayed on the GXG Site are provided for general informational and promotional purposes only.
Such information may be subject to change, correction, update, withdrawal, or modification by GXG at any time without prior notice, including due to planning, technical, commercial, legal, or operational considerations.
No information displayed on the Site shall constitute an offer, reservation, commitment, representation, or legally binding obligation unless expressly confirmed through duly executed contractual documentation.
Only signed and legally binding agreements executed between the relevant parties shall create enforceable rights and obligations.
Acceptable Use
Users agree not to:
provide false information;
impersonate another person;
misuse the platform;
interfere with security systems;
attempt unauthorized access;
upload unlawful content;
engage in fraudulent activity.
GXG may take appropriate action against violations.
Marketing & Third-Party Communications
Any information, statements, representations, opinions, or promotional content shared by third parties, including creators, affiliates, partners, influencers, or social media users, shall not be considered official GXG communications unless expressly authorized and approved by GXG in writing.
GXG does not accept responsibility or liability for any unauthorized, inaccurate, incomplete, misleading, or otherwise incorrect statements made by third parties.
Only information and representations published through GXG’s official communication channels or expressly approved by GXG shall be considered authorized GXG communications and capable of creating obligations on behalf of GXG.
Disclaimers
The Site and services are provided on an “as available” basis.
GXG does not guarantee:
uninterrupted availability;
specific property outcomes;
future prices;
residency approvals;
financial returns.
Limitation of Liability
To the maximum extent permitted by Cyprus law, GXG shall not be liable for indirect, incidental, consequential, or economic losses arising from use of the Site or participation in GXG programs.
Nothing excludes liability that cannot legally be excluded.
Marketplace Monitoring
GXG monitors activity for compliance and security. If unusual, suspicious, fraudulent, or abusive behavior is detected, GXG may investigate and/or restrict or block access to the Marketplace without notice.
Non-Reliance
By using the Site and participating in the GXG Membership Programme, you acknowledge that you have not relied upon any statement, estimate, illustration, social media content, creator communication, promotional material, marketing content, or representation other than those expressly contained within these Terms or any applicable legally binding agreement executed by GXG.
Only written agreements duly executed by the relevant parties shall create legally enforceable rights or obligations.
Indemnification
You agree to indemnify, defend, and hold harmless GXG Developers Ltd, its directors, officers, employees, affiliates, partners, and representatives from and against any claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
your use or misuse of the Site, Membership Programme, or GXG services;
your breach or alleged breach of these Terms;
your violation of any applicable law, regulation, or third-party rights;
any inaccurate, incomplete, misleading, or false information provided by you;
any actions or omissions undertaken by you in connection with your account, membership, or participation in GXG programmes.
This indemnity shall survive termination or expiry of your membership or use of the Site.
Force Majeure
GXG shall not be responsible for delays or failures caused by circumstances beyond reasonable control, including governmental actions, regulatory changes, technical failures, natural events, or third-party disruptions.
Governing Law & Jurisdiction
These Terms are governed by the laws of the Republic of Cyprus.
Any dispute shall be subject to the exclusive jurisdiction of the competent courts of Cyprus.
Intellectual Property
All content, trademarks, logos, and materials are owned by GXG or its licensors and are protected by applicable laws. No reproduction or use is permitted without prior written consent.
Changes to Terms
GXG may update these Terms periodically.
Continued use of the Site after changes constitutes acceptance of the updated Terms.
Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain fully effective.
Disclaimers
The Site and all content are provided “as is” and “as available,” without warranties of any kind, express or implied.
Limitation of Liability
To the fullest extent permitted by law, GXG shall not be liable for any indirect, incidental, consequential, or punitive damages arising from or related to your use of the Site or Marketplace.
